1. Acceptance of Terms

By accessing or using ClippyBot ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or in-app notification at least 14 days before they take effect.

2. Description of Service

ClippyBot provides a platform for:

  • Plugin-based tools and utilities for automation, data analysis, and content generation
  • AI-powered assistance and sidecar execution
  • Workspace collaboration, project management, and domain monitoring
  • Marketplace for discovering and running plugins

The Service is provided on an "as is" and "as available" basis.

3. User Accounts

3.1 Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

Do not share your password or API keys. Enable two-factor authentication where available. Notify us immediately of unauthorized access: [email protected].

3.3 Account Suspension and Termination

We may suspend or terminate your account for violation of these Terms, fraudulent, abusive, or illegal activity, non-payment of fees or chargebacks, or extended inactivity (accounts dormant for more than 2 years may be deleted after notice). Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for billing audit purposes.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit malware, viruses, or harmful code
  • Abuse rate limits, public tool endpoints, or the API
  • Send spam, unsolicited messages, or harass other users
  • Reverse engineer, decompile, or extract source code from plugins
  • Attempt to bypass security measures or access data you are not authorized to view
  • Use the Service to mine cryptocurrency or run unauthorized computational workloads
  • Upload illegal content, including content that infringes intellectual property rights

We reserve the right to investigate and take appropriate action, including removing content, suspending accounts, and reporting to law enforcement.

5. Native Plugin Execution

5.1 First-Party Plugins

ClippyBot includes native plugins signed by DotOwl. These plugins execute local code on your device or on our cloud infrastructure. They are reviewed and signed before distribution.

5.2 Third-Party Plugins

The marketplace may include third-party plugins. At this time, third-party plugins are not sandboxed and run with the permissions declared in their manifest. You acknowledge that you are responsible for reviewing plugin permissions before installation, we are not liable for the behavior, output, or security of third-party plugins, and we may remove or quarantine any plugin at our discretion for security or policy reasons.

5.3 Plugin Permissions

Plugins declare required permissions at install time. The system enforces these permissions. If a plugin requests additional permissions in an update, you must explicitly approve the update.

6. Public Tools and Usage Limits

Some plugins and tools are available without authentication ("Public Tools"). These are subject to rate limits per IP address (e.g., 100 requests per 15 minutes), fair-use caps on output size and execution time, and availability restrictions during high load. Abuse of public tools may result in IP blocking without notice.

7. Billing and Credits

7.1 Credits

ClippyBot uses a credit system for metered usage (AI tokens, plugin executions, file storage). Credits are purchased via Stripe. Credits are non-transferable between accounts. Purchased credits do not expire unless your account is deleted.

7.2 No Refunds on Spent Credits

Once credits are consumed (e.g., a job is executed), they are non-refundable. See the Refund Policy for exceptions.

7.3 Subscriptions

Subscription plans auto-renew at the end of the billing period unless cancelled. You can cancel at any time in your account settings. Cancellation takes effect at the next billing cycle.

7.4 Price Changes

We may change pricing with 30 days' notice. Existing subscriptions continue at the current price until the next renewal, unless you choose to change plans.

7.5 Failed Payments

If a payment fails, we will retry up to 3 times over 7 days. If payment continues to fail, your subscription may be suspended and credits may be frozen.

8. Intellectual Property

8.1 Your Data

You retain ownership of all data you upload, create, or generate using the Service. We do not claim ownership of your output.

8.2 Our IP

ClippyBot, the logo, plugin runtime, and all software and content provided by us are the property of DotOwl Pte Ltd and are protected by copyright and other laws. You may not copy, modify, or distribute our software without written permission.

8.3 Feedback

If you provide feedback or suggestions, we may use them without obligation or compensation.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DOTOWL PTE LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, OR DAMAGES ARISING FROM SERVICE INTERRUPTION, DATA LOSS, OR SECURITY BREACH.

9.3 Liability Cap

Our total liability for any claim arising out of or relating to these Terms shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the liability.

9.4 Exceptions

The above limitations do not apply where prohibited by law, including for gross negligence, willful misconduct, or personal injury.

10. Indemnification

You agree to indemnify and hold harmless DotOwl Pte Ltd and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or your content or data uploaded to the Service.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt an informal resolution. We will respond within 10 business days.

11.2 Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC). The arbitration shall be conducted in English.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis. No class actions, consolidated actions, or representative actions are permitted.

11.4 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified by email to the address associated with your account, by in-app notification, and by posting on the website. If you do not agree to the changes, you must stop using the Service. Continued use constitutes acceptance.
